01 Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the websites, mobile applications, and services operated by StoryPath, LLC ("StoryPath," "we," "our," or "us"), including the StoryPath platform and associated websites at storypath.us (collectively, the "Services").

By accessing or using the Services, including initiating or receiving SMS or email communications through the StoryPath platform, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.

If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you personally and that organization.

02 Description of Services

StoryPath operates the StoryPath platform, a proprietary mobile intelligence system used to deliver time-released educational content, SMS journeys, and data-driven engagement tools. Services include:

  • SMS-based mobile learning journeys and content delivery
  • Video hosting, streaming, and analytics
  • Enterprise client program management and reporting
  • Form submissions, surveys, and interactive user engagement tools
  • Platform analytics and engagement reporting for enterprise clients

03 Eligibility

You must be at least 13 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement. If you are under the age of 18, you may only use the Services with the consent and supervision of a parent or legal guardian.

Certain Services may be restricted to enterprise clients or authorized personnel. Unauthorized access is prohibited.

04 SMS Messaging Terms

This Section governs all SMS (text message) communications sent or received through the StoryPath platform. These terms are required by wireless carriers and the CTIA Messaging Principles and Practices.

4.1 Program Description

StoryPath sends SMS messages on behalf of itself and its enterprise clients to deliver educational content, program updates, course reminders, onboarding sequences, surveys, and related informational communications (collectively, "Messages"). Message frequency varies by program and may range from a single message to multiple messages per day depending on the journey enrolled.

4.2 How to Opt In

You may opt in to receive Messages in one or more of the following ways:

  • Texting a keyword to a designated short code or long code number provided by StoryPath or an enterprise client;
  • Submitting your phone number through a web form, landing page, or application that includes clear disclosure of SMS enrollment;
  • Providing verbal or written consent during an enterprise program enrollment or onboarding process.

By opting in, you consent to receive recurring automated text messages from StoryPath or the applicable enterprise client at the mobile number you provide. Consent to receive SMS messages is not a condition of purchasing any goods or services.

4.3 Opt-Out Instructions

To stop receiving messages at any time, reply STOP to any message. After opting out, you will receive one final confirmation message and no further messages will be sent.

To re-enroll, follow the original opt-in instructions for the program.

4.5 Message and Data Rates

Message and data rates may apply. All charges are billed by and payable to your mobile carrier. StoryPath is not responsible for any charges incurred from your wireless carrier in connection with SMS messages. Check your mobile plan details.

4.6 Supported Carriers

Messages are supported on all major U.S. wireless carriers, including but not limited to AT&T, Verizon, T-Mobile, U.S. Cellular, and others. Carrier support may vary. StoryPath and the wireless carriers are not liable for delayed or undelivered messages.

4.7 Messaging Compliance

StoryPath complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA Messaging Principles and Practices, and applicable carrier guidelines. We use registered 10-digit long code (10DLC) numbers and short codes that have been registered with The Campaign Registry (TCR) or the applicable carrier, as required.

You agree not to use the SMS Services to send or facilitate the transmission of spam, unsolicited commercial messages, or content that violates applicable laws or carrier policies.

4.8 Enterprise Client Responsibility

Enterprise clients who use the StoryPath platform to send messages to their own users are solely responsible for: (a) obtaining valid prior express written consent from all message recipients; (b) maintaining opt-in and opt-out records; (c) ensuring the content of messages complies with all applicable laws; and (d) registering campaigns with TCR or applicable carriers as required.

05 User Accounts and Access

Access to certain features of the StoryPath platform requires an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate, current, and complete registration information;
  • Notify StoryPath immediately of any unauthorized access or security breach;
  • Not share your credentials with any third party;
  • Log out of your account at the end of each session on shared devices.

StoryPath reserves the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

06 Acceptable Use

You agree not to use the Services to:

  • Transmit spam, unsolicited messages, or bulk commercial communications without recipient consent;
  • Violate any applicable federal, state, or local law, regulation, or carrier guideline (including the TCPA and CAN-SPAM Act);
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Harvest, scrape, or collect personal data from other users without authorization;
  • Introduce viruses, malware, or other harmful code into the platform;
  • Attempt to gain unauthorized access to any portion of the Services or related systems;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Use the Services for any unlawful, deceptive, or fraudulent purpose.

StoryPath reserves the right to investigate and, where appropriate, involve law enforcement for violations of these Terms.

07 Intellectual Property

All content, software, design elements, trademarks, and proprietary technology comprising the StoryPath platform and Services (including but not limited to text, graphics, logos, button icons, images, audio clips, and data compilations) are the exclusive property of StoryPath, LLC or its licensors and are protected by U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes in accordance with these Terms. You may not reproduce, modify, distribute, publicly display, reverse engineer, or create derivative works from any portion of the Services without prior written consent from StoryPath.

Enterprise clients retain ownership of their Client Data submitted to the platform. By submitting Client Data, you grant StoryPath a limited license to process that data solely as necessary to perform the Services under the applicable Master Services Agreement (MSA).

08 Privacy

Your use of the Services is subject to StoryPath's Privacy Policy, available at storypath.us/privacy-policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to the data collection, use, and sharing practices described therein.

09 Third-Party Services and Links

The Services may integrate with or link to third-party platforms including Twilio (SMS delivery), Vibes (SMS orchestration), Vimeo (video hosting), Microsoft Azure (cloud infrastructure), Zapier (workflow automation), and Stripe (payment processing). These third-party services are governed by their own terms of service and privacy policies. StoryPath is not responsible for the content, privacy practices, or availability of any third-party service.

Any links to external websites are provided for convenience only and do not constitute an endorsement. StoryPath has no control over and assumes no responsibility for the content or practices of third-party websites.

10 Payment Terms

Certain Services may be offered on a paid subscription or transactional basis. All fees are described in the applicable order form, MSA, or checkout page. By providing payment information, you authorize StoryPath to charge the applicable fees to your payment method.

All fees are exclusive of applicable taxes. StoryPath reserves the right to update pricing with reasonable notice. Refunds are subject to the terms set forth in your applicable service agreement. Payment is processed through Stripe; by providing payment information, you also agree to Stripe's Terms of Service.

13 Indemnification

You agree to indemnify, defend, and hold harmless StoryPath and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) any content you submit through the Services; (d) your violation of any third-party rights; or (e) your violation of applicable law, including any TCPA or carrier-policy violations arising from your use of the SMS features.

14 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict-of-law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Ada County, Idaho, and you consent to the personal jurisdiction of those courts.

For enterprise clients, dispute resolution procedures set forth in the applicable MSA shall govern in the event of any conflict with this Section.

15 Changes to These Terms

StoryPath reserves the right to update or modify these Terms at any time. Changes will be posted on our website with an updated effective date. Material changes will be communicated with at least 14 days' advance notice via email or a platform notification. Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the revised Terms.

16 Termination

StoryPath may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. You may terminate your use of the Services at any time by discontinuing use and, if applicable, cancelling your account or opting out of SMS messages as described in Section 4.

Upon termination, all licenses and rights granted to you under these Terms immediately cease. Sections 7, 8, 11, 12, 13, 14, and 17 shall survive any termination.

17 General Provisions

These Terms, together with the Privacy Policy and any applicable MSA or order form, constitute the entire agreement between you and StoryPath with respect to the Services and supersede all prior or contemporaneous understandings.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. StoryPath's failure to enforce any right or provision shall not constitute a waiver of that right or provision.

You may not assign these Terms or any rights hereunder without StoryPath's prior written consent. StoryPath may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
